Agreement governing your use of the Tarifix platform

These Terms of Service ("Terms") govern your access to and use of Tarifix's tariff intelligence platform and services ("Services"). By using Tarifix, you agree to these Terms.

1. Account Registration

To use Tarifix, you must:

• Be at least 18 years old
• Provide accurate, current, and complete information
• Represent a legitimate business entity
• Maintain the security of your account credentials

You are responsible for all activity under your account. Notify us immediately of any unauthorized access.

2. Acceptable Use

You agree not to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Attempt to reverse engineer or copy our technology
• Upload malicious code or attempt to compromise our systems
• Use the Services to harm others or engage in fraudulent activity
• Resell or redistribute Tarifix data without written permission
• Exceed rate limits or abuse API access

3. Your Data

Ownership

You retain all rights to your product catalog, supplier data, and any content you upload. Tarifix does not claim ownership of your data.

License to Us

You grant us a limited license to use your data solely to provide the Services — including HTS classification, exposure calculation, and scenario modeling. We will not use your data to train models for other customers without your explicit consent.

Your Responsibility

You are responsible for:

• The accuracy and legality of data you upload
• Ensuring you have rights to upload and process the data
• Complying with export control and trade regulations in your use of our Services

4. Our Services

HTS Classification

Tarifix provides automated HTS classification suggestions based on product data. While we strive for 95%+ accuracy, HTS classifications are suggestions, not legal advice. You are ultimately responsible for ensuring correct classification with U.S. Customs and Border Protection.

Tariff Data

We update tariff schedules and duty rates from official sources (USITC, CBP). While we aim for accuracy, tariff regulations change frequently. Always verify critical data with official sources.

Service Availability

We strive for 99.9% uptime but cannot guarantee uninterrupted access. We may perform scheduled maintenance with advance notice.

5. Fees and Payment

Subscription Plans

Tarifix offers monthly and annual subscription plans. Pricing is available at tarifix.com/pricing.

Billing

• Subscriptions renew automatically unless canceled
• You will be charged at the beginning of each billing period
• Price changes will be communicated 30 days in advance
• We use Stripe for payment processing

Refunds

We do not offer refunds for partial billing periods. You may cancel at any time, and your access will continue until the end of the current billing period.

Late Payment

If payment fails, we may suspend your account after 7 days. Your account will be reactivated upon successful payment.

6. Cancellation and Termination

You May Cancel

You can cancel your subscription at any time from Settings → Billing. Cancellation takes effect at the end of your current billing period.

We May Suspend or Terminate

We may suspend or terminate your account if you:

• Violate these Terms
• Fail to pay fees owed
• Engage in fraudulent or abusive behavior
• Use the Services in a way that harms Tarifix or other users

Effect of Termination

• Your access to the Services will cease immediately
• You may export your data within 30 days
• Your data will be deleted after 30 days (except as required by law)

7. Intellectual Property

Our IP

Tarifix owns all rights to:

• The platform software and codebase
• Classification algorithms and models
• Tarifix trademarks, logos, and branding
• HTS database compilations and enhancements

Feedback

If you provide suggestions or feedback, we may use it to improve Tarifix without obligation to you.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• Accuracy or completeness of HTS classifications or tariff data
• Uninterrupted or error-free operation
• Fitness for a particular purpose
• Non-infringement

Tarifix is not liable for classification errors, duty assessments, CBP penalties, or compliance issues arising from use of our Services.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Tarifix's total liability will not exceed the fees you paid in the 12 months prior to the claim
• We are not liable for indirect, incidental, or consequential damages
• We are not liable for lost profits, data loss, or business interruption

10. Indemnification

You agree to indemnify and hold harmless Tarifix from claims arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any laws or third-party rights
• Disputes over your HTS classifications with CBP or other authorities

11. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Arbitration

Any disputes will be resolved through binding arbitration in San Francisco, CA, under the rules of the American Arbitration Association. You waive the right to participate in class actions.

Exceptions

Either party may seek injunctive relief in court for IP infringement or violation of confidentiality obligations.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via:

• Email to your account address
• Prominent notice on the platform

Continued use after changes constitutes acceptance. If you disagree with changes, you may cancel your account.
